Terms of Service

1. Acceptance of Terms

By accessing or using ClawOcean ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

ClawOcean provides a managed platform for deploying and hosting AI assistant instances with integrations to third-party messaging platforms including but not limited to WhatsApp, Telegram, Gmail, Discord, and Slack.

The Service includes: (a) infrastructure for running AI agent instances; (b) integration connectors to third-party platforms; (c) optional access to AI models via ClawOcean AI or your own API keys (BYOK); and (d) a dashboard for managing your instances and usage.

3. Account Registration and Security

  • You must provide accurate, complete, and current registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must immediately notify us of any unauthorized use of your account
  • You are solely responsible for all activities that occur under your account
  • You must be at least 18 years old or the age of majority in your jurisdiction to use the Service
  • One person or legal entity may not maintain more than one account without prior written consent

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or engage in phishing activities
  • Generate, distribute, or facilitate illegal content including but not limited to CSAM, terrorism-related content, or content that promotes violence
  • Harass, abuse, threaten, or incite harm against any individual or group
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Attempt to gain unauthorized access to systems, networks, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to build a competing product or service
  • Circumvent any usage limits, rate limits, or access controls
  • Use automated scripts to collect information from or interact with the Service without permission

5. Third-Party Integrations

The Service connects to third-party platforms (WhatsApp, Telegram, Gmail, etc.). Your use of these integrations is subject to the respective third-party terms of service. You are responsible for ensuring your use complies with their policies.

We are not responsible for the availability, accuracy, or reliability of third-party services. Changes to third-party APIs or terms may affect the functionality of our integrations.

6. AI Usage and Content

AI-generated content may not always be accurate, complete, or appropriate. You are solely responsible for reviewing, validating, and taking responsibility for any content generated by AI through the Service.

  • You retain ownership of content you input into the Service
  • AI outputs are provided "as is" without warranties of accuracy or fitness
  • You must not rely on AI outputs for medical, legal, financial, or other professional advice
  • You are responsible for ensuring AI-generated responses comply with applicable laws

7. Payment Terms

  • Subscription fees are billed monthly in advance based on your selected plan
  • AI usage fees (for ClawOcean AI) are billed monthly in arrears based on actual token consumption
  • All fees are non-refundable except as required by law or stated in these Terms
  • We reserve the right to change pricing with 30 days' notice
  • Failed payments may result in service suspension after a 7-day grace period
  • You are responsible for all applicable taxes

8. Cancellation and Termination

You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period. Upon cancellation, your instances will be shut down and data will be retained for 30 days before permanent deletion.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. We may also terminate accounts that remain inactive for more than 12 months.

9. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by ClawOcean and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. ClawOcean, the ClawOcean logo, and related marks are trademarks of ClawOcean.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAWOCEAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ClawOcean, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent; we may assign them freely
  • Entire Agreement: These Terms constitute the entire agreement between you and ClawOcean
